The following Terms define the binding agreement between Base28, Inc. and any Member granted access to the foundry platform, its tools, and its programs. They are written to be read in full.
Acceptance of Terms
These Terms of Use govern access to and use of the services, applications, tools, and digital properties operated by Base28, Inc. ("Base28," "we," or "us"). By accessing the platform, the user ("Member") affirms binding acceptance of these Terms in their entirety.
Continued use of the platform following the publication of revised Terms constitutes acceptance of the modified provisions.
Eligibility and Member Conduct
Access is restricted to founders, operators, and institutional partners who have successfully completed Base28's intake protocol. Members agree to engage with the platform exclusively for legitimate venture-building activities and to refrain from any conduct that compromises the integrity, security, or confidentiality of the foundry environment.
Intellectual Property Ownership
All proprietary frameworks, diagnostic methodologies, AI-native tooling, and curricula made available through the platform remain the exclusive intellectual property of Base28. No license is granted by implication.
Members retain full ownership of work product, source code, and pre-existing intellectual property contributed to their ventures. Outputs generated by Base28 tooling on behalf of a Member are licensed to that Member on a perpetual, non-exclusive basis for the operation of their venture.
AI-Native Services
Base28 operates a suite of AI-assisted diagnostic and modeling tools. Outputs are advisory in nature and do not constitute legal, financial, investment, or fiduciary advice. Members are responsible for independent verification of any material decision informed by such outputs.
Confidentiality Obligations
Members are bound by reciprocal confidentiality obligations with respect to cohort communications, partner introductions, financial disclosures, and any non-public materials shared within the foundry. Breach of confidentiality constitutes grounds for immediate termination of access.
Suspension and Termination
Base28 reserves the right to suspend or terminate access at its sole discretion in the event of material breach, conduct inconsistent with the Community Standards, or for any reason deemed protective of the integrity of the platform. Termination does not extinguish accrued confidentiality or intellectual property obligations.
Limitation of Liability
To the maximum extent permitted by applicable law, Base28 disclaims all liability for indirect, incidental, consequential, or punitive damages arising from use of the platform. Aggregate liability shall not exceed fees paid by the Member in the twelve months preceding the claim.
Governing Law and Jurisdiction
These Terms are governed by the laws of the jurisdiction in which Base28 maintains its principal place of business. Any dispute arising hereunder shall be resolved through binding arbitration in that jurisdiction.
